Terms of Service
Effective October 16, 2026
These Terms of Service ("Terms") are an agreement between WORKWAE LLC, a Texas limited liability company ("workwae", "we", "us"), and you. They govern your use of the workwae website, console, API, SDKs and connect pages (the "Service"). If you use the Service for an organization, you accept these Terms on its behalf and confirm you are authorized to do so; "you" then means that organization. If you do not agree, do not use the Service.
"Customer" means a person or organization with a workwae workspace. "End user" means a person who connects an email, calendar, contacts or meeting account to the Service. Our Privacy Policy explains how we handle data and is part of these Terms.
1. The Service
workwae lets Customers connect Gmail, Google Calendar, Google Contacts, Microsoft 365, Outlook.com, IMAP, SMTP, CalDAV, CardDAV, Zoom and Webex accounts and work with them through one API: syncing and sending mail, managing calendars and contacts, creating meetings, and receiving webhooks. The Service is in early access; features may change, and we will give reasonable notice before removing a feature Customers rely on.
2. Accounts
- You must be at least 18 and able to form a binding contract to create a workspace.
- Keep your credentials and API keys secret. You are responsible for all activity in your workspace and for the members you invite.
- Tell us promptly at support@workwae.com if you suspect unauthorized access.
3. End users who connect an account
If you connect your own account through a workwae connect page or a Customer's application, you authorize workwae to access it with the permissions you approve on the provider's consent screen and to make its data available to that Customer. You can revoke that access at any time as described in the Privacy Policy. Your relationship with the Customer, and its use of your data, is governed by the Customer's own terms and privacy policy.
4. Customer obligations
As a Customer, you must:
- connect only accounts you own or that their owner or administrator has authorized you to connect, and have a lawful basis for processing their data;
- give end users a clear privacy notice that explains what data you receive through workwae and how you use it, and honor their requests to disconnect or delete;
- use data received through workwae only to provide the features your end users connected their accounts for;
- for data originating from Google APIs, comply with the Google API Services User Data Policy, including the Limited Use requirements: do not use or transfer it for advertising, sell it, use it for credit-worthiness or lending, allow humans to read it except as that policy permits, or use it to develop, improve or train generalized AI or machine learning models;
- comply with the terms of every provider whose accounts you connect, including the Google APIs Terms of Service, the Microsoft APIs Terms of Use, the Zoom API License and Terms of Use and Cisco's Webex terms;
- if you register your own Google, Microsoft, Zoom or Webex application with workwae, keep it in good standing with that provider, including any verification or security assessment it requires; and
- comply with all laws that apply to your use, including anti-spam, privacy, data protection and export control laws.
5. Acceptable use
You may not use the Service to:
- send spam, unsolicited bulk mail, phishing or messages with forged headers;
- access any account, mailbox or data without authorization, or monitor people without their knowledge where the law requires it;
- distribute malware or content that is illegal, infringing or abusive;
- circumvent plan limits, rate limits or security controls, or a provider's quotas or policies;
- probe, scan, overload or disrupt the Service or any provider's systems, or reverse engineer the Service except where the law allows;
- resell or sublicense the Service except as part of your own product; or
- help anyone else do any of the above.
6. Third-party services
The Service works with services operated by Google, Microsoft, Zoom, Cisco and others. workwae is not affiliated with, endorsed by or sponsored by them; their names and marks belong to their owners. Your use of their services is governed by their terms. They may change, limit or revoke API access at any time, which may affect the Service, and we are not responsible for their services or availability.
7. Your data
Customers and end users keep all rights to the data they connect, send or store through the Service ("Customer Data"). You grant workwae a limited license to host, copy, process, transmit and display Customer Data only to provide, secure and support the Service, as described in the Privacy Policy. We do not sell Customer Data, use it for advertising, or use it to train AI models. You are responsible for the Customer Data you submit and for having the rights needed to submit it.
8. Fees
Paid plans are billed in advance through Stripe at the prices shown when you subscribe, plus applicable taxes. Fees are non-refundable except where the law requires. If a payment fails, sending and new connections may be paused after a grace period until it is resolved. We will give at least 30 days' notice of a price increase, effective at your next billing period.
9. Suspension and termination
- You may stop using the Service and delete your workspace at any time.
- We may suspend or terminate access if you breach these Terms, if required by law or a provider, or to prevent harm to the Service, providers or other users. Where reasonable, we will notify you first and give you a chance to fix the problem.
- After termination, you may export Customer Data for 30 days, after which it is deleted as described in the Privacy Policy.
- Sections 7 and 10 through 14 survive termination.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WORKWAE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT MESSAGES WILL BE DELIVERED, OR THAT THIRD-PARTY SERVICES WILL REMAIN AVAILABLE.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WORKWAE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA, EVEN IF ADVISED OF THEIR POSSIBILITY. WORKWAE'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR US $100.
12. Indemnity
Customers will defend and indemnify workwae against third-party claims, and the resulting losses and costs, arising from their Customer Data, their use of the Service in breach of these Terms, or their violation of law or a provider's terms.
13. Governing law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The state and federal courts located in Texas have exclusive jurisdiction over any dispute relating to these Terms or the Service, and both parties consent to their jurisdiction.
14. General
- We may update these Terms. We will post changes here and notify Customers of material changes at least 30 days before they take effect; continuing to use the Service after that means you accept them.
- If any provision is unenforceable, the rest remain in effect. Failing to enforce a provision is not a waiver.
- You may not assign these Terms without our consent; we may assign them in a merger, acquisition or sale of assets.
- These Terms and the Privacy Policy are the entire agreement between us about the Service, unless we have signed a separate written agreement with you, which then controls.
